Terms of Use

These Terms of Use (“Terms”) govern your access to and use of Eclipse Scheduler, an appointment booking and scheduling platform operated by Eclipse Digital (“Eclipse Digital,” “we,” “us,” or “our”). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. The Service
Eclipse Scheduler is a software-as-a-service platform that lets businesses (“you” or “account holders”) create booking pages, manage availability and services, accept appointments from their own clients, and optionally collect payments. The Service is available through our website at eclipsescheduler.com and through our mobile applications (collectively, the “Service”).
2. Eligibility & Accounts
You must be at least 18 years old and able to form a binding contract to use the Service. You agree to provide accurate and complete information when creating your account and to keep it up to date. You are responsible for safeguarding your login credentials and for all activity that occurs under your account. Notify us promptly of any unauthorized use.
3. Subscription Plans, Trials & Billing
Eclipse Scheduler offers a free Starter plan and paid subscription plans (currently Standard and Growth). Paid plans may include a free trial period. The features included in each plan are described on our pricing page and may change over time.
- Auto-renewal. Paid subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. By subscribing, you authorize recurring charges to your selected payment method until you cancel.
- Web billing. Subscriptions purchased through our website are processed by Stripe. Prices are shown at checkout and exclusive of any applicable taxes unless stated otherwise.
- Mobile (Apple) billing. Subscriptions purchased through our iOS app are processed by Apple through your Apple ID account, subject to Apple’s terms. Prices on iOS may differ from web prices. Payment is charged to your Apple ID at confirmation of purchase, and your subscription renews automatically unless auto-renew is turned off at least 24 hours before the end of the current period. You can manage and cancel Apple subscriptions in your device’s account settings.
- Cancellation. You may cancel a paid plan at any time. Cancellation takes effect at the end of the current billing period; you retain access to paid features until then.
4. Payments You Collect From Your Clients
If you enable payment collection, Eclipse Scheduler integrates with third-party payment processors (such as Stripe) so that your own clients can pay you for appointments. You are solely responsible for the goods and services you provide to your clients, for your pricing and refund practices, for any disputes or chargebacks, and for complying with the payment processor’s terms and with applicable law. A processing fee may apply to transactions as described on our pricing page. Eclipse Digital is not a party to transactions between you and your clients.
5. Acceptable Use
You agree not to:
- Use the Service for any unlawful, fraudulent, or harmful purpose.
- Attempt to gain unauthorized access to the Service, other accounts, or our systems.
- Interfere with or disrupt the integrity or performance of the Service.
- Reverse engineer, copy, resell, or create derivative works from the Service except as permitted by law.
- Upload content that infringes others’ rights or violates applicable law.
6. Your Content & Data
You retain ownership of the content and data you submit to the Service, including your business information and your clients’ booking information. You grant Eclipse Digital a limited license to host, process, and display that content solely to operate and improve the Service. You are responsible for having an appropriate legal basis to collect and share your clients’ information and for handling it in compliance with applicable privacy laws. Our collection and use of personal information is described in our Privacy Policy.
7. Intellectual Property
The Service, including its software, design, and branding, is owned by Eclipse Digital and protected by intellectual property laws. These Terms do not grant you any right to our trademarks or other proprietary materials except the limited right to use the Service as permitted here.
8. Third-Party Services
The Service relies on third parties such as Stripe, Apple, and our hosting and infrastructure providers. Your use of those services may be subject to their own terms, and we are not responsible for their acts or omissions.
9. Disclaimers
The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.
10. Limitation of Liability
To the maximum extent permitted by law, Eclipse Digital will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid us for the Service in the twelve months before the claim arose.
11. Indemnification
You agree to indemnify and hold harmless Eclipse Digital from any claims, damages, or expenses arising out of your use of the Service, your content, your transactions with your clients, or your violation of these Terms or applicable law.
12. Suspension & Termination
We may suspend or terminate your access to the Service if you violate these Terms or if we reasonably believe your use poses a risk to the Service or others. You may stop using the Service and close your account at any time. Provisions that by their nature should survive termination will survive.
13. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you, such as by posting the updated Terms with a new “Last updated” date or by notice within the Service. Your continued use after changes take effect constitutes acceptance of the revised Terms.
14. Governing Law
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. Any dispute will be subject to the exclusive jurisdiction of the state and federal courts located in Texas, unless otherwise required by applicable law.
